| Hello Core of Second Ads is ad network system that runs in Second Life that I made through summer 2010 and been working on upgrades ever since then. Second Ads AD network is made one half from scripts in Second life (LSL) and other half from PHP scripts that communicate with MySQL database (all clicks on ads are unique). PHP scripts and database are currently hosted on ultimate shared web hosting provided by Godaddy. I am the creator and owner of those scripts and there are 2 persons who has access to those scripts - they both signed NDA with me. One is Shaark Constantine that I knew from RL - he is designer and helped me at website design and another one is RL programmer that doesn't have SL account (he is currently working on ad network for websites which will be additional product that we'll launch). Hoeg Boccaccio is coowner of another business venture (virtuvents - event hosting company) that I am 50 % owner. He has experience with previous IPO - will see how much he'll contribute to the success of IPO. Number of second ads venues grew in 5 months since it has been launched and shared web hosting is no longer sufficient as there are about 450 ad display boards placed inworld and they all together currently serve 3000 ad impressions per hour (measured impressions this monday for period of 10 hours). Most important thing that contributed to Second Ads growth in numbers of ad venues and advertisers is reliability of ad network system, good customer support and a brand name. Second Ads also got more important clients such as ACS, Bell Estates, maletazul.pt and others. Numbers really started growing in last 2 months and net profit from last 2-3 months was 439 USD $. With growth Second Ads gets more exposure, more people place ad displays on their land to earn money with it and that speeds up growth. I believe that stock price will grow with new ad displays that will be placed by virtual land owners. Until now 49 690 L$ has been paid to ad publishers (ad venue owners). http://www.secondads.com/ (stats) and about 110 061 L$ is currently in total ad budget being spent as people click on ads. Getting Second Ads on stock exchange will help more people find about it. Many of Second Ads affiliates, ad publishers and clients will also buy Second Ads shares as they already have a good experience with it. Second Ads as publicly traded company will gain on importance and credibility and my goal is to grow Second Ads and increase the value of its shares. My goal is to achieve steady growth. I will try to find an optimal way to grow the value of company. Yes we'll pay out dividends as that is also the way how I'll earn money for my work and I'll use part of it for staff wages. I've reserved 9 % of shares to be able to reward people that will work for Second Ads and contribute to its growth. There is a need to upgrade to dedicated server so that we'll be able to cross the line of 1000 ad venues in Second Life. Expenses for renting will be around 105 USD $ per month for server with 2,5 ghz and 8 GB memory. We'll upgrade from that as the need comes. |

| I hope that Hoeg's and shaark's relationship to the company are evident from previous post. They will not receive any of the 1.53 mil shares (51 % of the total) not being sold to the public. I've reserved 0.9 % of shares for employee rewards. They might get something from that if they bring profit to the company. I am currently the only one that has insight into how this ad network system works as I wrote the code. I've spent months to make it into what it is today. I'll make sure to live healthy and that I don't die any soon. Nothing is 100% in this world and I'll pass knowledge and give instructions to someone to continue the business in case if something happens to me. ad network system and website http://www.secondads.com have value as assets but I've decided not to include them and wrote 0 in field for tangible assets because it wouldn't be appropriate to judge the value of my own work - I'd be biased. |

| I'd just like to add 3) We are also developing a new product an ad network for websites to extend our reach out on web and some money will be invested into this to meet the quality criteria it needs to have so that people will use it. I really don't think that this IPO is too big. |

| This is financial report for 1 - 31 March: *(this is not real financial report - this is just to share some financial data - in detail report about company status will come later). For month March we had: Total transactions: 129 559 L$ Income from ADS = 107407 L$ commission Paid = 10283 L$ Total ADS Income of 97127 - Business Expenditure: 24698 - Publisher Payments : 21243 97127 - (24698 + 21243) = 51186 Profit Comission for affiliate ad center owners: 10 283 L$ Dividends to Shareholders : 48 000 L$ *Dividends were paid in 1st of April *If anyone wants to see spreadsheets of ad rentals and publishers payouts I can share a link to google docs (just IM me inworld or send an email... I'd like to thank to all shareholders for your trust into Second Ads. This is just a start... We started a very good and exciting project. Such project wouldn't be possible without financial backup of many small, medium and big investors that Second Ads currently has. | **VIRTUAL BUSINESS ALLIANCE** DOCUMENT PURPOSE To provide a business plan for the creation of the very first virtual business sim, backed up by bigger virtual businesses under a virtual business Alliance. INTENDED AUDIENCE This document is intended to provide information to: - Potential alliance members - Share holders - Interested parties THE IDEA: A BUSINESS SIM A sim will be created which will be collectively owned by the virtual business alliance. Each member will locate a building within the sim and will pay rent to use prims. Prims rented by members of the alliance will be the equivalent of shares and will have an important role once the sim is floated as a public shareholding. SIM DESIGN & FUNCTIONS Sim structures will be selectively picked and placed by a professional and it will be populated by real people that will be paid to play roles as assistants, sim tour guides, helpers etc. The sim will be heavily promoted as a business park in Second Life via the collective resources of all alliance members in order to drive up collective traffic. It will become a central gathering for virtual business people and a place where everyone goes to search for a job, advertise, offer services, look for romance or discuss business. It will be a place where both newbie and advanced users can find opportunities to connect, network and do business with others. The Starting weekly price per prim will be 4 L$ - rents will be paid for month in advance. | Just a short announcement about an advantage of sharing ideas and skills withing business alliance. In collegial talks with CEO of Yellowlanes we've come to an incredible idea. I can't go in much details but its something related to search, web2d to SL3d traffic and ofcourse advertising opportunity. We're both programmers one is more web oriented, other more LSL scripting oriented (perfect synergy). We'll possibly start collaborating on this particular project next month as currently Second Ads is busy with another synergistic collaboration. Can't tell much about that ether as I want to keep it as a surprise. Second Ads has shared and tweaked its core technology that is running main ad network.
