Beginning today through April 8th, I will be in the process of moving to Biloxi, MS where I am going to open L&L Corporation full time along with another venture I am a partner of. This will give me more than enough time to handle both the SL and RL sides of the business without having to stop to do a full time job out in the field.

What does this mean for L&L Corporation? This means products and services will come online a lot faster as I will have immediate, face to face help in coding and administration. I have also solicited an LSL scripter to facilitate our inworld developments. This quarter I have compiled a rough list of assets to include what we have right now. The numbers are lower as I let go of certain domains that were not populating revenue. Domains were calculated via URL Appraisal. All licenses are valued at resell value and Custom Software and Templates are based on both resell value and development value.

The buyback is continuing to increase the portfolio as well as my personal holdings (with my personal money of course) and will continues as long as needed. Since the buyback is continuing, I do not encourage anyone to do a market sell. Many would ask why I do not just put up a buy order. I am a believer in letting the market work the market so I buy randomly as any other shareholder would.

However, I am in the process of moving RL for a job and my location will be dependent on final numbers which could put me in Ft Worth, Houston, Baton Rouge, or Gulfport and will be in Ft Worth and Baton Rouge most of next week. With this in mind, I will be out of the office for the next 3 weeks. I should be able to post financials and pay the dividend during that time but if not, it will be the second week in April. I'm pretty much playing the waiting game with my new employer and that determines my time line as well as my ability to pack up and move within the 7 days they are likely to give me.

Because of this, I am holding off on the reverse split until 3 things happen in this order:

1. Completion of 18 month rule on last of shareholders.
2. Private buyback for shareholders wishing to sell 10,000 shares or more (to commence in early March).
3. Payout of special dividend (expected early March)

I am well aware that I do not pay the best dividend, have the best communication at times, nor do I have the most vibrant of businesses but do not think, for a moment, I have forgotten the shareholders. If I had, I would never have relisted L&L Corporation to bring some light to the day. Just because I propose something does not mean I have not thought, nor does it mean that I won't consider what people have to say. I will continue to do my best, but do remember, I am human, and I may fall short at times. Don't think it is on purpose.

I do not pay a monthly dividend and the business model doesn't really allow for it since projects sometimes take longer than a month to fulfill. Most people are here for instant gratification. LLC can't provide that.

4. MRG has a completely different business model that allows for more immediate information than mine. How she runs her business is her business and how I run mine is mine.
5. I have no idea what you mean by "not interested" but you are entitled to your opinion.

The sell side of your market is not even close to normal..

The new website is mostly complete and has been moved to the new domain at http://llcmetaverse.com and I hope to finish it today. I am having a coding issue that is taking me some time to fix. Hostbites is undergoing backend maintenance this weekend and I hope to have that finished by next weekend. The location is about 80% complete as I will be doing the terminal installs next week after testing with Hostbites.

I am looking for customer service representatives and support reps with Linux experience to assist with the hosting side of things. I plan to continue to handle all consultations myself. The company information page on CapEx is complete and is now viewable.

One thing to consider is that the company was over saturated with shares at the time from the past company and that was a hindrance to the current company and current shareholders. The loss was inevitable with that split because it was 10:1. That was huge.

By doing this final split, this will hopefully stabilize the share price as there will not be as many shares available for open trading. The company buyback will continue to help alleviate that as well. Right now, 80% of the shares are owned by the top 10 so, unless those 10 start dumping shares, I don't see much reason for the share price to tank. The 18 month rule has not been done yet so that could leave more than 80% in the hands of the top 10. I am also increasing my personal holdings with my dividend, so again, another opportunity to keep the share price stable.

I recognize the losses and am working hard to make sure our public offering coincides with the current business model and not the linger ghosts of the past. Feel free to ask more questions and thank you for the response.

Hostbites will link from the main site but that site will be a traffic filter for those that are not SL residents but seeking the same service options.

I have and will spend a little more time updating the company information on Capital Exchange and new information can be viewed there at present. Additionally, I would like to propose a 2:1 reverse split to be the final split and this would alleviate the need to destroy more shares in the future. At the same time, I will check the shareholder list for the 18 month rule. Hopefully, this will work in the favor of the stock to stabilize share price, rebuild the treasury for future SPOs (if needed), and realize more long term shareholders.

With the issues that arise from being all on either side of the spectrum, I have done a lot thinking about the next step into 2013. Our hosting service is being recoded to accommodate both RL and SL clients with an LSL bridge. The skeleton site is available at http://www.hostbites.com and will continue to service our marketing customers. Web design is being reformulated to make sure customers are not just thrill seeking when they seek a web presence, leaving us with unfinished sites as we wait on content. Additionally, we will be implementing tools to allow people to quickly create presences with minimal assistance. I feel this is important as all those that need sites do not need custom work and this gives us the ability to focus on larger projects.

Brokerage services are slated to go back online as soon as some of the tools from CapEx are available to automate these processes. I'm trying my best to code and maximize our servers to make everything automatic and user friendly so I can spend time getting new customers instead of only working on current and past.

Q3 - 2012 Dividends are expected to be paid with Q1 - 2013 dividends as the court date for the claim has been set in January. I will not have info about the outcome until the beginning of February as my council is representing me in court because I will be in Vegas for my RL work the last week of January. 2012 was a meh year for LLC but we are still alive. In addition to the creation of the roleplay currency system, Q3 brought lots of strife for the company. A brute force attack knocked mail servers offline for several days though everything else seems to be fairly intact. I am still finding lingering code in certain places but so far, no data has been loss. This attack made our RL bank account vulnerable but all funds were recovered and account numbers changed so everything has been fine on that front.

Several months ago, I stated that I was taking most of the operations RL because the money potential was greater and it was but so was the potential for issues. A contract from Q2 that the customer did not complete has become an issue again as the customer went back and filed a claim on the initial payments they made for the contract. Totaling $625 USD, this amount was charged back to our bank account resulting in a loss of L$156250. The contract terms are clear but has resulted in me having to file a small claims suit that could result up to $5000 USD in damages in addition to the amount of the contract. I have legal council as does the customer so we are attempting to handle this via arbitration but things are not looking good as the customer just doesn't want to pay for whatever reason.

Anyhow, this was a large reason why I had not posted Q3 financials. I wanted this to be handled and part of me honestly was giving up on the company but I'm going to move on and hope that the issue will be handled. As I get more information, I will provide it. Due to the contract loss, funds that would normally be paid in dividend will have to be held. I have noted the amount due so that they can be paid when resolution has been reached. I would rather withhold the dividend to keep from going in the red.

Multiple Companies Trading Halted For Not Filing Q3 Financials http://slcapex.com/forums/topic/LLC/7061
Our rules state that listed companies must file Quarterly Financial Statements. These statements must be posted on April 20, July 20, October 20, and January 20. When a listed company CEO does not file by the cutoff date, I give a 10-day additional grace period to post the late financials. If after 30 days from the end of the reporting period a Quarterly Financial Statement still isn't filed, trading will be halted.

In early 2011, I was often lenient in allowing extra time to file, however I feel that giving 30 days is more than enough time for a company to file a Quarterly Financial Statement at this point. Newly listed companies within 30 days of the filing cutoff have the option of filing the first financial in the next filing period.

The following companies have not filed 3rd Quarter Financial Statements as of today, and trading is halted until further notice until they properly post their Quarterly Financial Statements:

Success is not measured by what someone thinks you are capable of but what you actually do.

I have not put up the best profits or the best numbers in the year the company has been back on the exchange but I have done my best to do right by my shareholders as much as I possibly can and I will continue to do that. I may talk of going private or even shutting down services to inspire focus but let it be known, when I say things of that magnitude, I am in constant thought. I have not resolved to just stick with one plan and run with it. I have several plans at all times to make sure I am doing the best possible job I can for my shareholders.

Though my activity has decreased in capacity, my ability to focus on the company and stay out of the forum drama has made me a happy camper in a lot of ways. Again, I don't pay the best dividend, but damnit, I'm consistent and I will continue to be as long as I have that ability. Share prices have stabilized, the share float will continue to be a focus to decrease, and dividends will continue to be paid.

I have not used my forum as a soap box to point fingers at others nor used any moderator tool to prohibit free speech and negative lines of questioning. I invite the questions because they give insight on things I may not have considered. I have been involved in a few flaming storms in the past year but even in that, I realize there are some situations that cannot be saved for lack of forward thought. All things done in the dark come to the light though. This we can be sure of.

With all this being said, I would like to personally say, to each and every shareholder, including, from L&L Rentals and Sales on WSE to the change to SL Capex, from L&L Bank and Trust customers to L&L Financial Services customers, from L&L Credit Reporting Agency customers, thank you. Thank you for having the faith in the vision to invest in the beginning. Thank you for the anger and disappointment that came at the end. Thank you for the ridicule, hatred, and hope that came from the relisting. Thank you for still putting up any volume in the company at all today. It is with the good and the bad times that the company is still here and will hopefully continue to be here for a while to come.

The most thanks possible go to Skip Oceanlane, for including L&L Corporation in the vision of Capital Exchange. All the fussing and agreeing to disagree has made me a better CEO in the long run and I honestly could not have gotten this far without him getting on my nerves from time to time.

Currently, I would buy more shares of LLC if I have the funds. But, since I am in the process of "creating" my own company in SL via the finiancial sector of it(CapEX and VirWox); I put a limit on the L$'s that I could deposit within CapEx on this account.
Now with the news of going back to a private establishment, I really have no problem with it... I just now see it more of an opporturity now,with my other two accounts; given that you just gave me a time frame of when to sell.
To conclude, I figured with that news; I would inform via the forum, this fact because I have been watching the news briefs on LLC and it's stock price. Added to this reason, the CEO's RL location is close to my own; I sort of want to do "Buy Out" of LLC through the buying of shares.

Could it be that I said I wanted to take the company private? Perhaps, but even then, with the current plan, that won't happen for at least 9 months, if at all so again, emotional trading but, it is what it is. Most people don't do the research and just go with either what some one tells them or panic based on a twinge of information.

I'm not aloof to that. But there is no need to keep a gargantuan amount of treasury shares for no reason really than to just have them. I'm not an advocate of using treasury shares like a makeshift bank. It is a 99.99% chance that I would never sell a single share to expand because I would rather rely on held profits which is the point of doing a 50% dividend all this time to keep a knot should it be needed.

If you can't give me a legitimate reason to keep a huge treasury, then I really can't understand your reasoning for denying it or whatever it is you are trying to say. I just find it odd that you have so much to say now when the previous thread sat for weeks with no one saying a word.

The last reverse split we did fixed most of that but the price is still not as stable as I would like it to be to maintain overall value and the only way to maintain that is to either has a small amount of shares available to trade or an enormous amount so that transactions barely dent. The factor here I am trying to achieve is balance.

The total amount of dividend to be paid out to outstanding shares divided by the #of outstanding shares, multiplied by the total number of shares on the CAPX software.

You will end up paying a little more into the software at first, but with the same click you will get the excess amount back.

And from what it seems, you have some excess cash at hand to use as a one-second loan to the company.

I ask because I notice that some shares are for sale at somewhat high prices (>L$5/share) and some at ridiculously high prices (L$99-100/share) and if you don't have a cap then you're going to be spending a lot of money buying back those shares.

Also, I know you want to buy on market to keep it fair but I have my 1000 shares on the market at L$4.05/share which is my break even price after commissions. If you want those shares off the market quickly by arranging a private sale free to send me an IM.

I have ceased my current large scale SL projects because I am not available to be online as much as I would like. This does not affect LLC's bottom line as any refunds due will be paid by me personally. Auto pilot programs will continue to run and I will still do some smaller SL projects. I personally think you should implement your proposal to shareholders (posted on the forums Nov 12th 2011). You got rid of brokerage services but by continuing to concentrate your focus and destroying excess shares it will boost share price.

Financing from our own funds, since we have only been paying a 50% dividend in order to retain, should not be an issue. I would rather increase the value of the stock with less shares and SPO at a later date if needed than to hold on to the excess and keep more profits than the company really needs. I would rather have that in the shareholder's hands honestly. We aren't hurting for money at the moment and my focus is on one portion of the business that has been much more profitable than I had hoped.

At some point, I do plan to outsource some of the work but, again, we could afford to do that. Our expenditures are L$5000 per month for rent and incidentals such as payroll and other fees. Other expenditures may include purchasing domains, buying back stock, investing in other companies, etc but these are not regular items so they may go up and down but I have nailed down a formula for it all that is fairly sustainable.

Brokering isn't the issue. It's the day trading part that makes things more time consuming. I would not feel comfortable giving anyone access to the day trading account so I would have to do everything in that fashion. Without some link and automation from CapEx to the brokerage, everything has been done manually and the revenue generated does not justify the time spent on it when our other division is doing exponentially better and I'm even behind on a few projects in that division trying to revitalize the brokerage.

If it was automated like our old software, that is one thing but I don't have the time to build new software, day trade, and manually update the website, especially with the low revenue. I would say talk to Cecil of NBC about being a Broker. Thanks!

It would just be a functionality that will be modded to suit marketing better more so than complete disabling. The good thing about that is, since I don't have to republish CapEx information on the website for clients, everything can be automatic and real time accessible for marketing customers.

Just to give you an idea of income, the marketing division made about L$32,000 in income for the month of February. The best month the Brokerage division has had was about L$2,000 in one month. That is just the service and not counting the company portfolio. The company portfolio will remain as is. Please weigh in your ideas if you have any.
