Why is BDVR struggling? What plans are there to reverse this?

| Alain Delpiaz told me to start a new thread for this topic, so here goes.... I think what BDVR shareholders would like to know and need to know is why is the company struggling? And what plans are there to turn the company around? I notice that there is also a current IPO prospectus pending for the Marix group which appears to have a similar business as BDVR (i.e. skybox rentals) but claims to be doing very well. Why is Marix successful at what it does but BDVR is struggling? Also, has BDVR given any consideration to any kind of strategic combination with or acquisition by another skybox rental company that would be beneficial to BDVR shareholders? |

| When you claim BDVR is struggling, perhaps you should define what you mean by the word. There are several threads on our forum that discuss our work over the past year, how we have stabilized the company, how we have developed a second income stream, how we have enhanced our skybox component, what some of our future plans are, how the board provides tremendous oversight to operations, etc. Any understanding of the company history prior to the last year would make it clear that we are not, in fact, struggling. We are stable, diversifying, and methodically focused on plans for the next year. Kafka |

| I don't "claim" that BDVR is struggling. I have no access to any information about the company and am in no position to make any "claim" either way. However, other people in the thread entitled "BoD Compensation" have indicated that BDVR is struggling. I asked why BDVR was struggling and Alain Delpiaz told me that I should ask that in a new forum thread. I complied with Mr. Delpiaz' request and started this topic. So, please ask the people on the other thread who say that the company is struggling to define what they mean by the word. I was simply asking a question based upon their comments and am not in a position to comment on their definition of the word "struggling". |

| Since I was one of the people to bring this up, let me clarify what I meant. The company seems to have slow but gradual progress and that should be noted. However, the share price is struggling. From the list of sells en masse, there is a severe lack of confidence somewhere that either should be addressed in a shareholder meeting or with a share buyback. I just went over the financials again and saw the post where Alain stated that 1.5 million treasury shares were sold to gain share in EARN. That's a lot of shares to play instant ATM with. I would personally like to see a share buy back and destroy to increase overall value of the company as a whole before addressing such things as board compensation. Lately there has been a lot of talk about the BOD but nothing about the share price and the image of the company to shareholders. I just would like to see a change in priorities. That's all. |

| Thanks for clarifying, Lindsay. We have no ambitions to manipulate the share price. Our focus is the strength of the actual company, and the market will come around over time, after typical and quirky ebb and flow. As for assets in EARN or any other company, we have developed those according to strategy and income planning, devoting a specific percentage to expansion of our second income stream. We are not suddenly addressing board compensation. Board compensation has been a part of BDVR since the company was initially conceived. During our last board meeting, we determined rather than simply make any change to board compensation policy (in place for the past year) as part of our annual review and evaluation internally, we should take it to the shareholder base. The board determined this was an integral part of our fair-use model for profits. At this time, there is no plan to buy back and destroy shares. That is an artificial method to raise share value temporarily, with no guarantee such artificial gain is sustainable. Company diversification, expansion, and introduction of a third revenue stream will continue to bring value to the company. We focus on these elements, and work hard doing so. We do not plan to micromanage our stock price now or in the future. I think it is a bad habit some companies here employ. We won't. Kafka |
