I am very excited to announce that Bootgasm (BOOT), Second Life's largest boot designer and seller has submitted an Initial Public Offering (IPO) of stock application to Capital Exchange. I would like to thank BOOT CEO Tad Nightfire for agreeing to list his already highly successful company on the exchange. Business Overview
Bootgasm has been Second Life's largest boot store since it's founding in 2008. Noticing a void in the area of women's boots I decided to address this issue. At the time there were several clothing stores that each had 3-4 boot designs in a couple of colors but if a lady wanted to really go boot shopping she had to jump from place to place, spending far more time searching then buying and wearing. Bootgasm was created to solve this dilemma bringing out over 500 pairs of boots in our first 3 months. Now Bootgasm is still the largest boot store in SL and the most popular. With over 1,800 pairs of boots to choose from in every kind of style imaginable it is no wonder why both women and men find Bootgasm as "the place to shop for boots."

Bootgasm also generates revenue through an affiliate program. What makes Bootgasm different from all of the other affiliates out there? Bootgasm offers original highly detailed, highly desired items...Boots!!!! Our average customer doesn't buy a pair of boots, they buy 5-7 pairs of boots. And with our average sale at 500L thats a whole lot of income per customer. Our vendors can be placed at malls, clubs, parties, events or your own shops.

Bootgasm has about 500 affiliates as of right now, and we add about 10 new ones each month.

Use Of Capital
IPO funds will be used to expand Bootgasm into the next phase of its identity. We will be launching into an entire line of men's and women's shoes as well as a few additional departments to add to our recently remodeled store. Funds will be used specifically for contracting custom designs of sculpts and textures for these new creations. Once the new departments have been completed all unused funds will be put into advertising campaigns to grow the new departments and the store as a whole.

Dividend Policy
We plan to pay dividends to shareholders on a quarterly basis, based on quarterly profits. The amount of dividend will vary based on a variety of factors. Bootgasm is estimating dividends at roughly .01L per month or .03L per quarter. This is not a guarantee, and actual dividends paid can be higher or lower, but we will strive to achieve what is stated above.

Risk Factors
The major risk factor would be Second Life closing down. Other risk factors would be traffic volume in-world and on SL Marketplace declining.

Just wanted to say hello to all of our potential investors out there. I have put a lot of time into Bootgasm over the last four years making it the best place for boots in SL and I am very protective of my business and my investments. I believe that CAPEX is the next next step of the Bootgasm legacy and I look forward to sharing that experience with you all.

I think investors should take note of this. Full time businesses can be great investments, as the owner already has put in a vote of confidence. Also, imagine what you can achieve in that time and with so much passion.

My only concern is how do you stay sane rofl. I know from working full time in ADS the clock spins round randomly. I found myself eating breakfast in the evening the other day.

Oh, and just in case anyone doesn't know. Bootgasm is a very well known and longstanding brand with a large affiliate network and following.

Anyway, good luck with the IPO!

I have 2 questions:
1. You wish to expand but already have a high volume of retail activity; how far is the market for your products from being saturated?
2. How will you protect your market share against competitors?

The market for ladies footwear is never saturated, take a stroll along your local shopping center and you'll see :). The only limiting factor is spending capacity, other than that, many many women are little Imelda's :)
As for the market share thing, Bootgasm doesn't have a market share in shoes, only in boots. So yes, while there's a boots market share to protect (something Tad has been practicing for a long time), there's a large market in non-boot footwear that Bootgasm wants to penetrate, and in my view, they're in an excellent position to try to do that.

Thank you for the questions Troy and thank you Marishka for your correct responses. Just as in real life there are hundreds of boot & shoe designers, yet no matter how many new companies open up each year companies like louis vuitton and jimmy choo still flourish. What makes their designs any better than anyone else, when other companies bring out their own versions for cheaper? Their name. People know they will deliver quality and be around to back their product. The long time establishment of a well known brand that people recognize with great customer service and long term commitment is priceless.

Brand recognition is everything in the boot/shoe world. It's not just about boots or shoes being pretty but also about what name they hold. It's why Nike it still the top selling shoe in the world. When I was in high school I would only buy Nike because if you didn't have the newest "name brand" design you weren't cool, and the others would simply fall apart in a couple months of use. But that's not the only reason Nike sells so many shoes. I buy them for my kids now, because if I have ten brand names to choose from, I know that they will bring solid quality and great design and will not fall apart like others.

This is some of what Bootgasm brings to the boot/shoe market. Of course SL boots don't fall apart, but they do in a sense. Scripts become outdated and viewers change. With each change in SL, Bootgasm adapts and continues to provide its customers with the newest best stuff out. Resize scripts used to contain hundreds of scripts, one in every prim. When the single script resizer came out we redid every single pair of our designs over 1000 sets of boots at the time. When the alpha masks came out, we redid our entire inventory again, over 1500 at that time, to include v1 & v2 compatible designs. With every update came a mailout to all of our customers to come by the store and get your free updated versions of your favorite purchased boots. We made no additional money from offering these upgrades, we do this to show our customers that every one of them is important to us and customer care is our top priority. Times change, scripts change, viewers change, other businesses will come and go, Bootgasm is permanent and our proven business success shows it.

Imagine the number one name in boots expands its market into a line of not only high end shoes, but sneakers, deck shoes, etc. Especially when we market our new venture to our 30,000 customer mailing list and 8,000 SL group members. How many of our 100% satisfied customers are coming in to buy some new shoes. How many are no longer going to buy from competitors they have been buying from because Bootgasm did not previously offer these styles and now do. Now they can come not only for boots, but shoes, sneakers, sandals, anything foot related. I suppose the real question is ....... how are our competitors going to protect their market share against us?

Hmm... with that kind of a buyer base you should have no problem selling out your IPO... just make an announcement on your group/mailinglist and i think your IPO is going to be sold out in a day :)
