| Hello to all MLS shareholders & any additional interested parties. I would like to present a potential merger & aquisition of a business in SL. I am requesting the potential use of capital funds held by MiLOS, which currently stand at L$345,000 in cash. The business is for sale for L$2million. The breakdown is 750k initially. A further 250k coming from 50% of sales per month. and the remaining L$1million from 25% of sales per month. The business generates sales of between 50k & 180k per month with costs calculated at being 15k per month. I have always had a relatively good amount capital that is not generally put to good use. Where I do see the benefits of having this capital to hand, the reasons that I prefer this are for situations like these. A possible merger & acquisition. What I am interested in from you is to take this opportunity to buy some more shares from a sell order that I will be putting up at L$1.40 per share. MLS currently has L$345,000 in cash. I am putting L$90,000 of my own money into this acquisition. This leaves L$315,000 needing to be raised. VBL has L$310,000 of capital for use. Ideally I would be interested in VBL taking the majority holding in this venture in order to provide some cash generation. However, I still see the potential for MiLOS to acquire a stake in SLDVD's Therefore I will be placing a number of shares for sale @ L$1.40 per share. | One question I would like to ask is regarding copyright. I presume these movies are stored on a server and streamed into SL. These movies that are stored on the server, does the current owner have RL rights to distribute the material in SL or RL? Are there any RL contracts that stipulate what can and can't be done with the content? If not I would be totally against this proposal. I am a bit dubious at the moment as I am not sure if the current owner has the right to distribute the copyrighted content, most (if not all) porn companies already have an online presence so I'm struggling to see why they would they would let someone else distribute it. Unless of course the content is from failed porn companies that no longer have a presence online. |

| In reply to your message Itchy as far as I am aware SLDVD has complete rights to distribute in SL. Please see the legal section on the website http://www.sldvds.com. I am happy to discuss more about the whys and why nots with the seller. Of course, I will also be a shareholder and my interest in this opportunity being the right investment is as strong as yours. |
